Definition

• "Platform" means the SupplyIt website, mobile application, and all related services.
• "User" or "you" means any business entity or individual accessing or using the Platform.
• "Products" means goods listed, sold, and delivered through the Platform across all supply categories.
• "We", "us", or "our" means Momentum Private Limited (formerly known as Organicut Fresh Private Limited).
• "Account Manager" means the SupplyIt representative assigned to your business account.
• "Credit Account" means a business account approved for net-30 payment terms under a Credit Account Agreement.
• "Standing Order" means a pre-scheduled recurring order set up with your account manager.
• "Working Day" means Monday to Saturday, excluding public holidays, 9:00 AM – 7:00 PM IST.

Eligibility

• You must be at least 18 years of age
• You must have the legal authority to enter into binding agreements on behalf of your organisation
• Your business must be legally registered and compliant with all applicable Indian laws
• All registration information must be accurate, current, and complete

Account Registration and Security

• You are responsible for maintaining the confidentiality of your login credentials. Do not share your password with unauthorised persons.
• Notify us immediately of any suspected unauthorised account access at support@supplyit.in
• We may suspend or terminate accounts that violate these Terms, engage in fraud, misuse the Platform, or remain inactive for 24 consecutive months
• Each business entity may maintain one registered account without prior written approval

Products, Pricing, and Availability

• All product information — descriptions, specifications, and prices — is provided in good faith and subject to change
• Prices are in INR, exclusive of GST unless stated otherwise. GST is calculated and displayed at checkout
• We reserve the right to correct pricing errors and will notify you if an order is affected
• Product availability is not guaranteed. If an ordered item is unavailable, we will notify you and offer a substitute, alternative delivery date, or full refund

Orders

• An order is confirmed only upon receipt of our written order confirmation via email or WhatsApp
• Minimum order value is Rs. 2,000. Orders below this may attract an additional delivery charge shown at checkout
• Bulk quotations are valid for the period stated in the quotation
• We reserve the right to cancel orders that appear fraudulent or are in violation of these Terms. You will be notified of any cancellation
• Orders cannot be cancelled once dispatched from our warehouse

Payments

• Payment is due at order placement for standard accounts.
• We accept UPI, Net Banking, NEFT/RTGS, Credit Cards, and Debit Cards. Cash on Delivery is available for eligible customers.
• Credit Accounts: Net-30 terms governed by a separate Credit Account Agreement. Payment due within 30 days of invoice date.
• Late payments attract interest at 18% per annum on the overdue amount. Services may be suspended for accounts overdue beyond 15 days.

Delivery

• Delivery timelines — including same-day for orders before 5 PM — are good-faith estimates, not contractual guarantees.
• Risk of loss passes to the buyer upon delivery to the specified address.
• Inspect all consignments on delivery. Report discrepancies, shortages, or visible damage within 24 hours of receipt.
• We are not liable for delays caused by events beyond our reasonable control, including weather, road blockages, civil unrest, or force majeure.

Credit Account Terms

Credit Accounts are subject to a separate written Credit Account Agreement. General terms:

• A credit limit is assigned and may be revised at our discretion up to Rs 5 lacs
• All invoices under a Credit Account are payable within 30 days of the invoice date
• SupplyIt reserves the right to withdraw or reduce the credit limit at any time with notice
• Consistently late payments may result in permanent withdrawal of credit facilities

Standing Orders

• Standing Orders are pre-scheduled recurring orders processed automatically on the agreed cycle.
• Quantity or frequency changes must be communicated at least 48 hours before the next scheduled delivery.
• Standing Orders may be paused or cancelled by contacting your account manager with at least 48 hours' notice.
• Pricing on Standing Orders is subject to periodic review in line with supplier price changes. We will notify you in advance of any price revision.

Returns and Refunds

• Returns accepted within 7 days of delivery for damaged, defective products.
• Products must be unused, in original packaging, with all components intact.
• Non-returnable categories: opened safety consumables, hygiene products, and custom-sourced items.
• Initiate returns via your account manager or support@supplyit.in. Collection is arranged from your facility.
• Refunds processed within 10 Working Days of inspection. For Credit Accounts, the amount is adjusted in the next invoice.
• Default and Recovery: In case of non-payment or delayed payment by user beyond agreed timelines, SupplyIt reserves the right to:
  (a) suspend or cancel pending and future orders.
  (b) initiate legal recovery proceedings.
  (c) charge interest at the applicable rate.
  (d) report payment defaults to credit agencies or third-party recovery platforms.

Intellectual Property

All content on the Platform - including the SupplyIt name, logo, product descriptions, photography, and software - is the exclusive property of Momentum Private Limited (formerly known as Organicut Fresh Private Limited), protected under the Trade Marks Act, 1999 and Copyright Act, 1957. You may not reproduce, distribute, or create derivative works without our prior written permission.

Prohibited Conduct

• Using the Platform for any unlawful purpose
• Attempting to gain unauthorised access to any part of the Platform
• Uploading harmful, fraudulent, or defamatory content
• Using bots, scrapers, or automated tools to extract data without written permission
• Placing fraudulent, speculative, or test orders
• Harassing or threatening SupplyIt staff, account managers, or delivery personnel

Indemnity

You agree to indemnify, defend, and hold harmless Momentum Private Limited (formerly known as Organicut Fresh Private Limited), its directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising out of:

(a) your use or misuse of the Platform or Products
(b) your breach of these Terms
(c) violation of any applicable law or third-party rights
(d) use of Products in a manner not intended or specified

This obligation shall survive termination of your account.

Force Majeure

SupplyIt shall not be liable for any failure or delay in performance arising out of events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, strikes, labour disputes, transport disruptions, supplier failures, government actions, or civil disturbances.

In such events, delivery timelines shall stand extended for the duration of the disruption.

Limitation of Liability

To the maximum extent permitted under applicable law, SupplyIt shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business, loss of production, or loss of opportunity.

SupplyIt makes no warranties regarding the fitness of products for any particular purpose unless expressly agreed in writing.

In all circumstances, SupplyIt’s total liability shall not exceed the total amount paid by you for the specific order giving rise to the claim.

Governing Law and Jurisdiction

These Terms are governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh. Before legal proceedings, both parties agree to attempt good-faith resolution within 30 days of written notice. Unresolved disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with seat of arbitration in Noida.

Modifications

We may modify these Terms at any time. Material changes will be notified by email and the Last Updated date revised. Continued use after changes constitutes acceptance.
